定款を作り、公証役場で認証を受ける

　日本で株式会社を作る場合、最初のステップは会社のルールとなる重要事項を決定したうえで、それを「定款」という形にします。

　また、その定款は公証役場において公証人による認証を受けなければなりません。

　最初から少し煩雑な手続きですが、当センターにご依頼いただければ、電子定款を使用し、通常よりも4万円安い金額で定款認証を行うことができます。是非ご相談ください。

Transfer capital to a Japanese bank account

日本の銀行口座に資本金を振り込む

　日本の銀行の口座に資本金を振り込み、通帳のコピーを準備します。これをもとに「払込みがあったことを証する書面」を作成し、これが設立登記の際の添付書面になります。

　この口座は、日本の銀行の口座でなければいけません。もし、日本で銀行口座を持っていない場合は、口座を開設する必要があります。海外にいらっしゃる方の場合は、「日本における協力者」を確保し、その協力者の口座を利用する方法をとります。もし、「日本における協力者」の確保が難しい場合は、当センターが当該事務も行いますので、お気軽にご相談ください。

You transfer the capital to your Japanese bank account and prepare a copy of passbook. Based on this copy, you create a "document providing that the payment has been made", which will be the attached document when registering the establishment of a corporation.

This account must be a Japanese bank account. If you do not have it, you will have to open one. If you are a foreigner overseas, you secure a " cooperator in Japan" and use the account of the cooperator. If it is difficult to find the "cooperator in Japan", our center will be the cooperator, so please feel free to contact us.

Rent an office

事務所を借りる

　会社の本店となる事務所を借ります。自宅を自宅兼事務所として使用する方法もあります。ただし、「経営・管理」の就労ビザを取得する予定であれば、1戸建ての場合を除いては、自宅兼事務所ではオフィスとして認められません。

　また、海外に在住の方は日本で事業用の賃貸物件を契約することが難しい場合が多いので、やはり「日本における協力者」に契約作業を代行してもらうことになります。この点についても、当センターが事務代行を行いますので、お気軽にご相談ください。

事業計画書を作成する

　「経営・管理」のビザを取得る場合には、設立した会社の事業が継続して存在し続けることを証明するために、事業計画書を作成します。事業内容や収入や経費の見込みを示し、確実にビジネスとして成り立つことを証明します。

　最終的に「経営・管理」ビザが許可となるか不許可となるかは、事業計画書の内容によることが多いのが現状です。レベルの高い事業計画書を作成し、ビジネスの収益性や永続性をアピールしましょう。当センターでは、事業計画書の作成代行を行っています。是非ご相談ください。

法人設立登記を行う

　必要な書類が整い次第、法務局に株式会社の設立登記を申請します。登記については、少しでも内容や手続きに瑕疵があると申請が通りませんので、司法書士という専門家が申請を代行するのが一般的です。

　当センターでも、この登記手続きについては、提携している司法書士に依頼しています。

As soon as the necessary documents are ready, you apply to the Legal Affairs Bureau for registration of establishment of a company. If there are any mistakes in the contents of procedures, the application will not pass, so it is common for a spesialist called a judicial scrivener to act for the application.

At our center, the registration procedure will be done by an affiliated judicial scrivener.

Make a notificattion to the tax office, etc.

税務署等に届け出を行う

　設立登記の申請が通り、株式会社が登記されると、登記事項証明書が取得できるようになります。この登記事項証明書等を使って、官公署へ各種の届出を行います。

　税務署や県税事務所等、6か所ほどの官公署に書類を提出する必要があります。ご自身で行うのが難しい場合は、司法書士や社会保険労務士に書類の作成と提出をお願いします。当センターにご依頼いただいた場合においても、提携している司法書士や社会保険労務士に業務依頼を行っています。

Once the application for registration of establishment is passed and the corporation is registered, the registration certificate can be obtained. You can use this certificate to make various notifications to public offices.

It is necessary to submit the documents to about 6 public offices such as the national tax office and the prefectural tax office. If you find it difficult to do it yourself, ask a judicial scrivener or a social insurance labor consultant to prepare and submit the documents. If you request to our center, we will make a business request to the affiliated judicial scrivener and the social insurance labor consultant.

Apply for business license

許認可申請を行う

　設立した会社の目的に古物商や飲食店営業等が含まれている場合は、営業許可申請が必要です。それぞれの業種によって管轄する役所が異なります。必要な書類を作成したうえで、管轄する役所へ許可申請を行います。

　当センターでは営業許可申請も代行いたしますので、安心してご依頼ください。

If the purpose of the established company includes antique dealers, restaurant sales, etc., you need to apply for a business license. The jurisdiction office differs depending on each industry. You prepare the necessary documents and apply for permission to the government ofiice.

Obtain (Change) the status of residence

在留資格を取得（変更）する

　会社設立登記、許認可申請が終わったあと、最後に「経営・管理」ビザの申請を行います。当該ビザは取得難易度が極めて高いため、それ以前に行う手続きについても、ビザ申請から逆算して、ビザの申請が通りやすいように準備を進めていく必要があります。

　当センターは外国人の方に関する手続きの専門センターになりますので、一括して手続きを進めています。安心してご相談ください。
